Risk Disclosure

Participation in any opportunity made available through Private Investor Club involves significant risk. You should read this disclosure, the documentation for the specific opportunity and the Investor Agreement carefully, and take independent advice where appropriate, before committing capital.

Loss of capital

You may lose some or all of the capital you commit. No opportunity on the Platform is guaranteed, insured or protected by any compensation scheme unless its documentation expressly states otherwise.

Illiquidity

Private-market positions are generally illiquid. There may be no secondary market, lock-up periods may apply, and you may be unable to exit a position when you wish or at a price reflecting its reported valuation.

Valuation

Portfolio values shown in the portal are derived from administrator-maintained reference rates and valuation factors. They are indicative only, may be updated infrequently, and may differ materially from the amount realised on exit.

Concentration and leverage

Committing a large proportion of your assets to a single opportunity, or financing a commitment through borrowing, increases the risk of significant loss.

Counterparty and operational risk

Opportunities depend on the performance of issuers, borrowers, custodians and other counterparties. Failure, fraud or operational error at any counterparty may cause loss or delay.

Regulatory and tax risk

Laws and tax treatment affecting an opportunity may change. You are responsible for your own tax position and for confirming that participation is lawful in your jurisdiction.

Past performance

Past or projected performance, where provided within an opportunity’s documentation, is not a reliable indicator of future results.

Suitability

The club does not assess whether any opportunity is suitable for you. Eligibility rules reflect regulatory and capacity constraints, not a judgement about your personal circumstances.
