Terms of Use

These Terms of Use govern access to and use of the Private Investor Club website and member portal (together, the "Platform"). By accessing the Platform you agree to these Terms. If you do not agree, do not use the Platform.

1. Invitation-only access

The Platform is a private environment. Member accounts are created only through an invitation issued by the administration. Submitting an access request does not create any entitlement to membership, and the administration may decline or withdraw an invitation at its discretion and without giving reasons.

2. Eligibility

You may use the member portal only if you are at least 18 years of age, satisfy the investor-qualification standard applicable in your jurisdiction, have completed identity and source-of-funds verification, and are not resident in a jurisdiction listed in the Jurisdictional Restrictions.

3. Your account and security

You are responsible for safeguarding your credentials, multi-factor authentication devices and any recovery codes. You must notify the administration immediately through the portal if you suspect unauthorised access. The administration may suspend an account where it reasonably believes it has been compromised or used in breach of these Terms.

4. No offer, advice or recommendation

Content on the Platform is provided for information only. Nothing on the Platform constitutes an offer, solicitation, recommendation or advice of any kind, including investment, tax or legal advice. Any decision to participate in an opportunity or to use a service is made solely by you on the basis of the full documentation provided for that opportunity or service.

5. Opportunities and services

Opportunities and services are made available subject to their own documentation, eligibility rules, disclosures and, where applicable, the Investor Agreement. Capacity may be limited and allocations may be scaled back or declined. Submission of a service request does not guarantee any outcome.

6. Acceptable use

You must not attempt to gain unauthorised access to any part of the Platform, interfere with its operation, submit false or misleading information, use the Platform for any unlawful purpose, or disclose confidential information about other members or opportunities.

7. Intellectual property

The Platform, its design and its content are the property of the club or its licensors. You may use content for your personal evaluation of opportunities and services and for no other purpose without written consent.

8. Availability

The administration aims to keep the Platform available but does not guarantee uninterrupted access. Maintenance windows and incident notices are published inside the portal.

9. Limitation of liability

To the fullest extent permitted by law, the club, its administrators and service providers are not liable for any loss arising from your use of or inability to use the Platform, from any opportunity or service, or from any decision you make in reliance on content on the Platform. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Changes

These Terms may be updated from time to time. The version number and effective date are shown on this page, and material changes are notified to members inside the portal. Continued use after a change constitutes acceptance.
